These Terms of Service ("Terms") govern your access to and use of the "Legal Advice Now" website (https://legaladvicenow.ai) and the associated AI-powered document analysis services (collectively, the "Service") provided by Valadier Ventures LLC ("Valadier Ventures," "we," "us," "our"), a limited liability company organized under the laws of the State of Florida, United States.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (available at https://legaladvicenow.ai/privacy), which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service - IMPORTANT DISCLAIMERS

Legal Advice Now provides a Software-as-a-Service (SaaS) platform that uses artificial intelligence (AI) to analyze legal documents and contracts uploaded by users. The Service generates reports based on this AI analysis.

THIS SERVICE IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.

  • NOT LEGAL ADVICE: The analysis, reports, and any information provided by the Service DO NOT CONSTITUTE LEGAL ADVICE. Valadier Ventures LLC is not a law firm, does not employ licensed attorneys to provide advice through this Service, and is not licensed to provide legal advice.
  • NO ATTORNEY-CLIENT RELATIONSHIP: Your use of the Service DOES NOT create an attorney-client relationship between you and Valadier Ventures LLC or any of its employees or affiliates.
  • CONSULT A QUALIFIED ATTORNEY: The AI analysis may contain errors, omissions, or inaccuracies and may not be suitable for your specific circumstances. You should NOT rely solely on the Service for making legal decisions. Always consult with a qualified, licensed human attorney admitted to practice in your jurisdiction for advice tailored to your specific situation before taking any action or making any decision based on information obtained from the Service.

2. Acceptance of Terms & Mandatory Acknowledgements

Your use of the Service constitutes your acceptance of these Terms and the Privacy Policy.

Before paying for and uploading a document, you MUST acknowledge and agree by checking the required checkboxes:

  • "I understand that this service uses AI for analysis and provides information for educational purposes only. It is NOT legal advice and does not create an attorney-client relationship. I agree not to rely solely on this analysis for legal decisions and will consult a qualified human attorney for advice specific to my situation."
  • "I confirm I have the right to upload this document and agree to the Privacy Policy & Terms."

3. User Accounts & Guest Mode

Guest Mode:

You may use certain features of the Service on a per-document basis without creating an account ("Guest Mode"). Data handling for Guest Mode is described in our Privacy Policy.

Registered Users:

You may choose to create an account ("Registered User") by providing an email address and optionally other details as described in the Privacy Policy. If you create an account, you are responsible for:

  • Maintaining the confidentiality of your password.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account at support@legaladvicenow.ai.
  • Treating your password securely using reasonable safety measures.

4. Payment & Refunds

Payment:

The Service operates on a pay-per-document basis. Fees are due before document analysis is initiated. All payments are processed securely through our third-party payment processor, Stripe. By making a payment, you agree to Stripe's terms and conditions.

Refunds:

Refunds will only be issued under the following circumstances:

  • A demonstrable Service outage prevented the analysis from being completed or delivered.
  • The system failed to generate and provide the analysis report due to a technical fault originating from our Service.

Refund requests must be submitted to support@legaladvicenow.ai within 7 days of the failed transaction or service failure. We reserve the right to investigate the claim before issuing a refund. No refunds will be issued based on dissatisfaction with the content of the AI analysis, given the educational nature and disclaimers provided.

5. User Obligations and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload any document for which you do not have the full legal right, title, and authority to upload and permit processing as described in these Terms and the Privacy Policy.
  • Upload any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable, or that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Attempt to disrupt, damage, disable, overburden, or impair the Service or its servers or networks.
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.
  • Use the Service in any way that violates applicable local, national, or international law or regulation.

6. Intellectual Property Rights

Service:

Valadier Ventures LLC owns all right, title, and interest in and to the Service, including its software, platform, website design, branding, logos, and all underlying technology and intellectual property rights. These Terms do not grant you any rights to use the Legal Advice Now branding or logos.

User Content:

You retain full ownership of the documents you upload ("User Content").

License Grant to Valadier Ventures:

By uploading User Content, you grant Valadier Ventures LLC a limited, non-exclusive, worldwide, royalty-free license to use, process, reproduce, and display your User Content solely for the purpose of providing the AI analysis Service to you as described in these Terms and the Privacy Policy. This license terminates when your case data is deleted according to our retention policy (see Privacy Policy). This license does not permit us to use your User Content for training AI models.

7. Third-Party AI Providers

The Service utilizes third-party AI models to perform document analysis. We select these providers based on their capabilities and their contractual commitments not to use data submitted via their API for training their models. However, these AI providers are independent third parties. While we facilitate the interaction, Valadier Ventures LLC is not responsible for the specific functioning, outputs, or data handling practices of these third-party AI providers beyond ensuring the data is sent for the purpose of analysis under the agreed terms. We disclaim liability for any breaches by these providers unless caused directly by Valadier Ventures LLC's negligence.

8. Disclaimers of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VALADIER VENTURES LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VALADIER VENTURES LLC DOES NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS.
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • THE RESULTS OR ANALYSIS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE. AI SYSTEMS CAN AND DO MAKE MISTAKES.
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY INFORMATION OBTAINED THROUGH THE SERVICE AND FOR ANY DECISIONS OR ACTIONS YOU TAKE BASED ON SUCH INFORMATION. ALWAYS CONSULT A QUALIFIED HUMAN ATTORNEY.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALADIER VENTURES LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VALADIER VENTURES LLC'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED POUNDS STERLING (£100.00), OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO VALADIER VENTURES LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION OF LIABILITY SECTION DOES NOT AFFECT VALADIER VENTURES LLC'S LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM ITS NEGLIGENCE, NOR FOR FRAUDULENT MISREPRESENTATION, NOR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (SUCH AS CERTAIN STATUTORY RIGHTS FOR CONSUMERS).

10. Indemnification

You agree to defend, indemnify, and hold harmless Valadier Ventures LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, or your confirmation that you have the right to upload the User Content.

11. Termination

Termination by You:

If you are a Registered User, you may terminate your account at any time through your account profile settings.

Termination by Valadier Ventures:

We may suspend or terminate your access to the Service and/or your account, with or without notice, for any reason, including, but not limited to:

  • Breach of these Terms.
  • Uploading illegal or infringing content or engaging in illegal activity.
  • If your Registered User account remains inactive (no login) for a period of twelve (12) consecutive months.

Effect of Termination:

Upon termination, your right to use the Service will cease immediately. We will delete your data according to the retention periods specified in our Privacy Policy. Sections 1, 5, 6, 8, 9, 10, 12, 13, and 14 of these Terms shall survive termination.

12. Governing Law and Dispute Resolution

Governing Law:

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Dispute Resolution:

We encourage you to contact us first at support@legaladvicenow.ai to resolve any issues. If a dispute cannot be resolved through informal negotiation within thirty (30) days, you agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the state or federal courts located in the State of Florida, United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes within the Service application. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

14. Miscellaneous

Entire Agreement:

These Terms and our Privacy Policy constitute the entire agreement between you and Valadier Ventures LLC regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Severability:

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

No Waiver:

No waiver by Valadier Ventures LLC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Valadier Ventures LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
